Director Contract Template
The majority of businesses, large or small employ key people to act as Directors.
Such individuals are entrusted to run the business and they have access to the business’s most valuable and often confidential information, which can extend to technical information, business strategy, staff, customers, suppliers and business contacts.
Despite this, surprisingly many businesses do not put in place appropriate documentation to protect them should the relationship between the business and Director change and perhaps not for the best.
There are two main types of Contracts for Directors
The naming conventions for contracts can be confusing, but there are two main types of contract, which depend on whether the Director is an employee on your payroll or self-employed.
1. Director's Contract of Employment - In many cases, company directors are also employees of the companies where they work, and as such, are entitled to a contract of employment, with extensive provisions concerning their specialist position and obligations under the Companies Act 2006.
2. Director Service Agreement - In other cases, a Director can be self-employed (usually someone who provides objective and independent advice to the company’s board).
You'll get both types of Contract Templates included in your purchase, to allow you to read through them and send the one which is relevant to you. To decide this, it's recommended the employers completes a CEST Assessment, which determines the employment status (i.e. the person in a self-employed contractor or employee)
But, it's very important you make the scope of their duties and their responsibilities clear to avoid any misunderstandings or issues down the line.
